Terms of Use for LabeledIn Platform

Effective Date: October 1, 2025

Welcome to LabeledIn ("the Platform," "we," "us," or "our"). These Terms of Use ("Terms") govern your access to and use of our Platform, which includes our website, mobile applications, and any other services we provide (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference into these Terms. If you do not agree to these Terms, you must not access or use our Services.

1. Service Overview

LabeledIn is a platform designed to connect individuals seeking services ("Service Seekers" or "Regular Users") with individuals or businesses offering services ("Service Providers"). The Platform offers the following features:

For Service Seekers: A search engine to discover service providers and products, view their profiles, read reviews, and communicate with them directly.
For Service Providers: The ability to create a professional profile to showcase their services and products, publish content (such as blogs, photos, and videos), advertise job vacancies, manage advertising campaigns within the Platform, and utilize email marketing tools.
Personal Website Creation: Service Providers can create and manage a comprehensive personal website through our Platform to market their businesses independently.

2. Eligibility and Account Usage

Eligibility: You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use our Services and create an account as a Service Provider.
Account Registration: You may need to create an account to access certain features in the Platform. You agree to provide accurate, complete, and up-to-date information during the registration process and to keep this information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Account Types: We offer different account types, including accounts for Service Seekers and accounts for Service Providers (with or without the personal website feature). Additional terms may apply to certain account types or features.
Account Responsibility: You are fully responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account or any other security breach.

3. User Conduct and Responsibilities

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

Post or transmit any content that is unlawful, harmful, threatening, abusive, defamatory, obscene, vulgar, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
Impersonate any person or entity or misrepresent your affiliation with a person or entity.
Post false, misleading, or inaccurate information, including in your profile, service listings, or reviews.
Infringe upon the intellectual property rights of others, including copyrights, trademarks, trade secrets, and patents.
Collect or store personal data about other users without their express consent.
Send spam, unsolicited messages, or unauthorized marketing communications.
Use any robot, spider, or other automated device, process, or means to access the Platform for any purpose, including monitoring or copying any of the material on the Platform.
Interfere with or disrupt the operation of the Platform or the servers or networks connected to the Platform.
Attempt to gain unauthorized access to any part of the Platform or other users' accounts, computer systems, or networks connected to the Platform.
Engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Platform, or which, as determined by us, may harm LabeledIn or users of the Platform or expose them to liability.

4. User Content

Content Ownership: You retain all ownership rights in the content you create, upload, post, or display on or through the Platform ("User Content").
License to Us: By submitting User Content, you grant LabeledIn a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, distribute, prepare derivative works of, display, and perform such User Content in connection with the operation and promotion of the Platform and our Services. This license is necessary for us to operate the Platform and provide the Services to you and other users.
User Content Responsibility: You are solely responsible for your User Content and for any consequences of publishing or displaying it. You represent and warrant that you have all necessary rights, licenses, consents, and permissions to grant the above license and that your User Content does not infringe upon the rights of any third party or any applicable laws.
Content Monitoring and Removal: We reserve the right, but not the obligation, to monitor, review, or remove User Content at our sole discretion and for any reason, including if we believe it violates these Terms, our policy, or applicable law. We are not responsible for any User Content posted by users.

5. Special Conditions for Service Providers

In addition to the general terms, the following terms apply to Service Providers:

Accuracy of Information: You are responsible for ensuring the accuracy and completeness of all information provided in your profile, service listings, and personal website (if any), including service descriptions, pricing, availability, and qualifications.
Service Quality: You agree to provide your services in a professional and timely manner and of high quality, in accordance with industry standards and any agreements you enter into with Service Seekers.
Compliance with Laws: You are responsible for complying with all applicable laws and regulations related to your services and business operations, including any licensing or registration requirements.
Personal Websites: If you create a personal website through our Platform, you are responsible for all content and activities on your personal website. Your personal website must comply with these Terms and all applicable policies.
Advertising and Marketing: If you use our advertising or email marketing features, you must comply with all applicable laws and regulations regarding advertising and marketing, including those related to spam and data protection.
Job Vacancies: When posting job opportunities on the platform, you must ensure that the information provided is truthful, non-misleading, and in full compliance with all applicable employment, labor, anti-discrimination, and other relevant laws and regulations in your jurisdiction.
Fees and Payments: We may charge fees for certain features or services. You will be informed of any applicable fees before incurring them. You agree to pay all applicable fees in a timely manner.

6. Intellectual Property

Our Ownership: The Platform and all its contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by LabeledIn, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal or internal business use in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as expressly permitted by these Terms or with our prior written consent.
Trademarks: The LabeledIn name, the LabeledIn logo, and all related names, logos, product and service names, designs, and slogans are trademarks of LabeledIn or its affiliates or licensors. You may not use these marks without our prior written permission.

7. Ratings and Reviews

The Platform allows users to post ratings and reviews of Service Providers. These ratings and reviews must be honest and based on actual experiences.

We do not endorse or verify the accuracy of ratings and reviews. However, we reserve the right to remove any rating or review that violates these Terms or is deemed inappropriate, false, or misleading.

8. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without any warranties of any kind, whether express or implied. To the fullest extent permissible pursuant to applicable law, we disclaim all warranties, express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Services will be uninterrupted or error-free, that defects will be corrected, or that the Platform or the server that makes it available are free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content available on or through the Platform, including service listings, user profiles, ratings, or reviews.

You acknowledge that any reliance on any such content or information will be at your sole risk. LabeledIn is not responsible for any disputes, disagreements, or damages arising between users.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will LabeledIn, its affiliates, licensors, service providers, employees, agents, officers, or directors be liable for any indirect, consequential, special, incidental, punitive, or exemplary damages, including but not limited to, damages for loss of profits, data, use, goodwill, or other intangible losses, resulting from (1) your access to or use of or inability to access or use the Services; (2) any conduct or content of any third party on the Services; (3) any content obtained from the Services; and (4) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed its essential purpose.

In no event will LabeledIn's total liability to you for all claims related to the Services exceed the amount you paid to us, if any, for the use of the Services during the twelve (12) months preceding the claim.

10. Indemnification

You agree to defend, indemnify, and hold harmless LabeledIn, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your User Content, any use of the Platform's content, services, and products other than as expressly authorized in these Terms.

11. Termination

We may, in our sole discretion, suspend or terminate your access to all or part of the Services, with or without notice, for any reason, including, but not limited to, if we believe you have violated these Terms.

You can terminate your account at any time by contacting us or through your account settings (if this feature is available).

Upon termination, all rights and licenses granted to you under these Terms will immediately cease. We will remove your User Content from the Platform upon termination, although some copies may remain in our backup systems for a reasonable period of time.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the services shall be brought exclusively in the courts of the United Arab Emirates.

13. Changes to the Terms

We reserve the right to modify these Terms at any time in our sole discretion. If we make material changes to these Terms, we will notify you by posting the updated Terms on this page and, where appropriate, through other means (such as email or in-app notification). Your continued use of the Services after the effective date of the updated Terms constitutes your acceptance of the changes.

14. Platform's Role as a Mere Intermediary

You acknowledge and agree that the LabeledIn platform acts solely as a technical intermediary connecting Service Providers and users seeking these services, and is not a party to any contractual relationship or agreement between any of the parties. We do not represent any party, nor do we participate in any direct or indirect dealings between users.

15. No Responsibility for Services Provided

The LabeledIn platform bears no legal or contractual responsibility regarding the quality, validity, or execution of services provided by users or Service Providers through the Platform. We offer no warranties or commitments—express or implied—regarding any content, service, or transaction made through the Platform.

16. Disputes Between Users

Any dispute or disagreement arising between users (whether Service Providers or Service Seekers) is a private matter solely between those parties, without any direct or indirect responsibility on LabeledIn. You also agree to indemnify the Platform and its employees and partners for any damages or losses that may result from such disputes.

17. Compliance with Local Regulations

Every user on the Platform—whether a Service Provider or a Service Seeker—bears full responsibility for ensuring that all their transactions and behaviors within and outside the Platform comply with the applicable regulations and legislations in the country where they operate or reside, including taxes, licenses, and required legal permits.

18. No Legal or Professional Advice

LabeledIn does not provide any legal, technical, or professional advice of any kind. The information and services available through the Platform are not intended to be a substitute for specialized advice, and users should refer to legal or professional specialists when needed.

19. Disclaimer for Advertisements and External Content

The Platform may contain links to third-party websites or advertisements. LabeledIn assumes no responsibility for the content or accuracy of these links or the obligations of the parties associated with them, and the presence of these links or advertisements does not mean that we recommend them or are responsible for their use. Your use of any third-party content is entirely at your own risk.

20. Dispute Resolution and Jurisdiction

In the event of any dispute related to your use of the Platform, you agree to first attempt to resolve the dispute amicably within a period of no less than 30 days from the date of notification of the dispute. If the dispute is not resolved amicably, it shall be referred to arbitration or the competent courts in the United Arab Emirates, and this dispute shall be exclusively governed by the laws of the UAE.

21. Right to Amend and Update

LabeledIn reserves the right to amend or update the Terms of Use at any time without prior notice, and your continued use of the Platform after any amendment is considered your explicit acceptance of the modified Terms. Therefore, we recommend that you periodically review the Terms to stay informed of any updates.

22. General Provisions

Entire Agreement: These Terms, along with our Privacy Policy and any additional terms that may apply to specific features or services, constitute the entire agreement and understanding between you and LabeledIn concerning the Services and supersede all prior or contemporaneous agreements and understandings, whether written or oral.
Waiver and Severability: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be severed from these Terms, and the remaining provisions will remain in full force and effect.
Assignment: You may not assign any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
Headings: The section headings in these Terms are for convenience only and have no legal or contractual effect.
